1. Acceptance, Entity, and Governing Law
By accessing or using the website www.podclubmedia.com (the “Service”), owned and operated by WMB VENTURES (OPC) PRIVATE LIMITED (operating under the trade name Pod Club Media™; collectively, “PCM,” “we,” or “us”), you agree to be bound by these Terms and Conditions (“T&Cs”).
1.1 Legal Entity and Address: The Service is owned by WMB VENTURES (OPC) PRIVATE LIMITED, with its Registered Office at Plot No. 458 9 B, Saket Nagar, Landmark: H.E. Hospital, Huzur, Bhopal – 462024, MP.
1.2 Governing Law and Jurisdiction: These T&Cs shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes are subject to the exclusive jurisdiction of the courts in Bhopal, Madhya Pradesh.
2. Intellectual Property (IP) and Licensing (CRITICAL ADDITIONS)
- 2.1 PCM Content Ownership: All content on this website (text, logos, graphics, and proprietary methodologies like Ink to Audio™) is the exclusive property of WMB VENTURES (OPC) PRIVATE LIMITED. Unauthorized reproduction is prohibited.
- 2.2 Learning License Restriction (Pod Club Learning™): Access to courses grants the user a limited, non-exclusive, non-transferable license for personal, non-commercial use only. Sharing of access credentials, redistribution, resale, or public republication of any Pod Club Learning™ content is strictly prohibited and constitutes a material breach, leading to immediate termination without refund.
- 2.3 Client Content IP (Studio/Publications): While the client retains copyright ownership of their original manuscript/script and the final delivered audio content, PCM retains ownership of the underlying production methodology and any third-party licensed elements (e.g., stock music, SFX) used in the production.
3. Services and Service Delivery (OPERATIONAL ADDITIONS)
- 3.1 Services Provided: Pod Club Media™ provides media production, branding, and educational services, including through its six verticals (Agency, Studio, Publications, Learning, Radio, Events). All deliverables are subject to the specific contract signed per project.
- 3.2 Contract Integration: Project timelines, scope changes, and detailed deliverables are exclusively defined and managed by the separate project proposal or retainer agreement signed for services like Agency and Studio. These T&Cs supplement, but do not replace, the specific service contract.
4. Payment, Fees, and Refund Policy (CRITICAL ADDITIONS)
- 4.1 Payment Terms: All fees are payable in Indian Rupees (INR). Invoices are managed via our internal invoicing and management systems.
- 4.2 Project Service Refunds (Publications/Agency/Events/Studio): Deposits and advance payments for project-based services are generally non-refundable, as they cover immediate resource allocation. Detailed cancellation schedules will be included in the individual service contract.
- 4.3 Digital Product Refunds (Learning): Fees for Pod Club Learning™ courses are typically non-refundable once access to the main course modules has been granted, due to the nature of digital IP.
5. Limitation of Liability and Disclaimers
- 5.1 Limitation of Liability: WMB VENTURES (OPC) PRIVATE LIMITED shall not be liable for any direct, indirect, or incidental damages resulting from the use or inability to use our services.
- 5.2 No Financial Guarantee: PCM provides expertise and service delivery but does not guarantee specific financial results, income, or revenue generation from content or campaigns. The client assumes all market risk.
6. User Conduct and Termination
6.2 Termination: PCM reserves the right to immediately suspend or terminate a client’s service or access if there is a breach of these T&Cs, including non-payment or violation of intellectual property rights.
6.1 Prohibited Use: You agree not to use this website for any unlawful purpose, to solicit others to perform or participate in any unlawful acts, or to violate the intellectual property rights of PCM (as detailed in Clause 2).
